Facilitator License and Non-Disclosure Agreement

This agreement is entered into on April 21, 2026, between ThoughtsAlive LLC., (“Owner of Rare Faith Programs”) whose address is 19159 E. Macaw Drive Queen Creek, AZ 85142 and Signee / Facilitator below. 

 

Terms and Conditions

 

In consideration of the Facilitator’s payment of the training and certification fees and costs identified herein, the parties agree as follows:

 

1. Definitions

 

1. ThoughtsAlive Materials” means the workshops, coursework, materials, and processes developed by Leslie Householder and her company.
2. “ThoughtsAlive LLC Owners or Agents” means officers, owners, or staff of the ThoughtsAlive LLC Company.
3. "Signee", “Facilitator”, or “Certified Facilitator” means an independent contractor who has been or is being trained by Thoughts Alive LLC to conduct, teach, and deliver Rare Faith Programs.
4. “Participating Personnel” means individuals who are officers, owners, staff, certified facilitators, or authorized event assistants.
5. “Program Participant” means a customer, client, event attendee, student, and/or registrant of Rare Faith Programs.
6. "Authorized Participant” means a customer, client, event attendee, student, and/or registrant of Rare Faith Programs who has been officially registered through the ThoughtsAlive LLC system to participate in Rare Faith Program(s).
7. “Rare Faith Programs” means Mindset Mastery, Genius Bootcamp, or any other program(s) the Facilitator has been Certified to conduct.
8. “Materials” means all coursework, workbooks, and toolkits associated with ThoughtsAlive LLC that the Certified Facilitator is authorized to present.
9. “Facilitator Training” means the workshop, coursework, materials, and processes used by ThoughtsAlive LLC to certify the facilitator.

2.  Grant of License. ThoughtsAlive LLC grants Facilitator a non-transferable and non-­exclusive license to present Rare Faith Programs to Program Participants to be conducted only by a Certified Facilitator. Facilitator may not sublicense or present the Materials to any other person, entity, or business unless authorized by ThoughtsAlive LLC. Certified Facilitator must present Materials without any corruption, alteration, addition, or manipulation. Any exceptions must be obtained by written consent from ThoughtsAlive LLC.

 

3.  Participant Materials. Facilitator agrees to purchase Materials for each Program Participant that it trains in Rare Faith Programs. Facilitator agrees to provide each Program Participant with a participant workbook and supporting materials for each session presented. Pricing for materials will be based on current industry rates for print and supplies plus handling fees, and Facilitator is responsible for all shipping costs for the materials. The Materials shall be presented to program participants by at least one Certified Facilitator.

 

4.  Fees and Costs. All fees and costs specified in this Agreement are subject to change, but are guaranteed for a period of one (1) year from the date of this Agreement and set forth in Exhibit A.

 

5.  License Term. The license for conducting Rare Faith Programs commences upon the date of this Agreement AFTER all certification requirements have been met, and is in effect through December 31 of the following year, so long as the Facilitator maintains all requirements, unless terminated as specified below.

 

6.  Training and Licensing. To be certified and maintain one’s license to facilitate Rare Faith Programs, an individual must:

1. Complete the Facilitator Program Application
2. Sign the Facilitator Agreement, attached hereto as Exhibit B.
3. Complete Mindset Mastery with Honors.
4. Attend Genius Bootcamp.
5. Complete Facilitator Training.
6. Attend and complete the training provided at the annual Facilitator’s Conference.
7. Complete ALL requirements related to each Rare Faith Program that the individual wishes to conduct.
8. Pay the License Fee(s) as set forth in Exhibit A.
9. Participate in video conference calls as provided for ongoing uniformity, training, and support, or watch the recording if unable to attend.
10. Maintain the Standards as set forth by Leslie Householder in Facilitator Training.
11. Use only the most current and updated participant and facilitator Materials as provided from ThoughtsAlive LLC.
12. Allow ThoughtsAlive LLC Owners or Agents to observe the Certified Facilitator teaching the Materials from time to time.
13. Submit copies of reviews upon request.

7.  Withdrawal of License to Facilitate. ThoughtsAlive LLC Owners or Agents may at any time withdraw the license to facilitate Rare Faith Programs for these causes:

1. The Facilitator fails to maintain certification requirements as established above.
2. The Facilitator, without written permission from ThoughtsAlive LLC Owners or Agents, trains others to conduct Rare Faith Programs within or outside the Facilitator organization.
3. The Facilitator, without written permission from ThoughtsAlive LLC Owners or Agents, utilizes any of the Materials for unauthorized purposes.
4. In the sole judgment of ThoughtsAlive LLC Owners or Agents, the facilitator’s performance does not meet the appropriate standards.

8.  Facilitator Materials. ThoughtsAlive LLC shall provide, as a part of Facilitator Training, one set of Materials to each Certified Facilitator. Certified Facilitators shall use the most current Materials as modified by Leslie Householder. Materials are not to be duplicated, reproduced, or modified without the prior, written approval of ThoughtsAlive LLC Owners or Agents. All Materials shall remain the property of ThoughtsAlive LLC. Replacement copies can be obtained with approval from ThoughtsAlive LLC.

 

9.  Copyrights, Trademarks, Proprietary Information. Facilitator agrees that all copyrights and trademarks relating to any and all ThoughtsAlive LLC programs, products, and Materials are the sole property of ThoughtsAlive LLC and that such programs, products and Materials, whether or not protected by copyright, are not to be copied or reproduced in any fashion without the prior written approval of ThoughtsAlive LLC Owners or Agents.

1. Facilitator agrees not to use any part of Rare Faith Programs, products or Materials as the basis for creating a training program on the same or similar subjects.
2. Facilitator shall not modify Rare Faith Programs or any part thereof without written permission of ThoughtsAlive LLC Owners or Agents.

10.  Photography and Video Release. Facilitator authorizes ThoughtsAlive LLC, its employees, and its agents to utilize photographs and/or videos taken of Facilitator, and its Participating Personnel, in the creation or publication of ThoughtsAlive LLC materials and hereby release and hold harmless from any expectation of privacy or confidentiality associated with images. Facilitator further acknowledges that participation is voluntary and there will be no financial compensation for any photographic or video use of Facilitator, its Participating Personnel, and agrees that publication confers no rights or ownership or royalties whatsoever.

 

11.  Payment Terms. All facilitator fees for conducting Rare Faith Programs are due prior to Rare Faith Program dates of participation and required for the standard marketing and communication to properly prepare participants for class.

 

12.  Termination of License. In the event that any terms of this Agreement are breached by the Certified Facilitator, ThoughtsAlive LLC may terminate this Agreement by providing written notice to the Facilitator. Upon request, the Facilitator shall return to ThoughtsAlive LLC Owners or Agents, all Materials at Facilitator’s sole expense. After Facilitator has fulfilled all obligations under this Agreement, Facilitator may terminate the Agreement by providing written notice to ThoughtsAlive LLC and returning all Materials in Facilitator’s possession. Digital materials must be deleted or otherwise relinquished.

 

13.   Limitation of Liability. Mindset Mastery, Genius Bootcamp, and Certification incorporate both physical and mental activity. Where the program requires physical activity on the part of the Facilitator, it shall be the sole responsibility of the Facilitator to ensure that the Facilitator and Participating Personnel are fit and able to comply with the requirements of the program, and ThoughtsAlive LLC shall not be liable for any loss or damage incurred as a result of any injury to the Facilitator or Participating Personnel sustained in the program or as a result of the training, however caused. Facilitators will also be responsible for ensuring that all Program Participants have signed and submitted the Release from Liability Form provided upon registration before participating.

 

14.  Confidentiality. Unless otherwise agreed in writing, the Facilitator shall treat this Agreement and any amendment thereto and any specifications, concepts, ideas, and methodologies provided by ThoughtsAlive LLC to the Certified Facilitators as strictly confidential.

 

15.  Entire Agreement. This Agreement represents the entire understanding between the parties and supersedes all prior agreements whether written or oral. This Agreement may be modified only in writing signed by the parties thereto.

 

16.  Governing Law. This Agreement shall be governed by the laws of the State of Arizona. In the event that any actions are necessary to enforce the terms of this Agreement, the prevailing party shall be entitled to recover reasonable costs and attorney’s fees, whether or not any suit is filed.

 

17.  Auditing. Facilitator agrees that ThoughtsAlive LLC Owners, Agents or authorized representatives may attend any Workshop provided or sponsored by the Facilitator or any other seminar or program involving any ThoughtsAlive LLC materials and to audit any such Workshop, program or Certified Facilitator, provided there is at least 48 hours advance notice.

EXHIBIT A

Fees

 

One-time Certification Fee                                                           $600 after training is complete

Annual Administration Fee for active, licensed Facilitators          $150 per year after the first year

 

Unless otherwise stated in writing by ThoughtsAlive LLC Owners, Agents, or authorized representatives, annual participation at Facilitator’s Conference is required to maintain license to facilitate Rare Faith Programs for the following calendar year.
